Job Description

A boutique law firm / corporate legal department specializing in commercial real estate, corporate transactions, and regulatory compliance. They provide high-quality, client-focused legal services in a collaborative, fast-paced environment.

Position Summary:
Seeking a detail-oriented Corporate / Real Estate Paralegal to support attorneys on transactional matters including commercial real estate acquisitions/dispositions, leasing, financings, entity formation, corporate governance, and contract management. The ideal candidate is organized, proactive, and experienced in both corporate and real estate workflows.

Key Responsibilities:
- Prepare, revise, and assemble transactional documents: purchase & sale agreements, deeds, leases, loan documents, LLC/LP documents, resolutions, and closing binders.
- Conduct and analyze title searches, prepare title opinion summaries, coordinate with title companies and surveyors.
- Manage closing logistics: coordinate dates, prepare closing checklists, distribute documents, and attend closings as required.
- Assist with corporate governance: maintain minute books, prepare annual filings, draft resolutions, and update organizational charts.
- Support due diligence: compile data rooms, organize documents, summarize findings, and track outstanding items.
- Coordinate with clients, lenders, brokers, municipalities, and other third parties.
- Maintain calendars, deadlines, and transaction databases; ensure compliance with firm SOPs and client requirements.
- Perform legal research and draft memos on procedural or statutory issues as needed.

Qualifications:
- 3+ years paralegal experience with a mix of corporate and commercial real estate transactions (law firm or corporate legal department).
- Strong knowledge of real estate documentation (deeds, mortgages, title matters), basic corporate formation and governance, and closing processes.
- Excellent drafting, proofreading, and organizational skills; high attention to detail.
- Proficient with MS Office (Word, Excel, Outlook) and experience with title platforms, DMS, and e-signature tools (DocuSign) preferred.
- Ability to manage multiple matters under tight deadlines and communicate clearly with attorneys and clients.
- Paralegal certificate, ABA-approved program, or relevant degree preferred.

Nice-to-Have:
- Experience with commercial leasing and real estate finance.
- Familiarity with state/local recording practices and UCC filings.
- Prior experience preparing closing binders and post-closing file maintenance.
