Seeking an experienced and detail-oriented Commercial Lending Law Clerk to join our client's legal team. The ideal candidate will have a strong background in commercial lending transactions and be proficient in handling all aspects of commercial financing, including due diligence, preparation of security documentation, and closing procedures. You will work closely with lawyers, financial institutions, and clients to ensure smooth and timely completion of transactions.

 

Key Responsibilities:

  • Draft and prepare legal documents related to commercial lending transactions, including commitment letters, loan agreements, promissory notes, mortgages, general security agreements (GSAs), PPSA registrations, and related security documents.

  • Conduct title and off-title due diligence including corporate searches, execution searches, PPSA searches, and review of title insurance policies.

  • Liaise with financial institutions, clients, lawyers, and third parties (e.g., title insurance companies, government offices) to coordinate closings.

  • Review and analyze loan and security documentation to ensure accuracy and compliance with applicable laws and lender requirements.

  • Handle closing arrangements, including preparation of closing agendas, funds flow, and reporting documentation.

    • Register and discharge security interests through platforms such as Teraview and the Ontario PPSA Registry.

    • Assist with post-closing matters, including preparation of reporting letters and organization of closing books.

    • Maintain accurate and organized records of all transaction documents.

Qualifications:

  • Law Clerk diploma or equivalent legal education (e.g., from an accredited Ontario college).

  • Minimum of 3+ years’ experience in commercial lending or commercial real estate law, preferably in a law firm or financial institution.

  • Strong knowledge of Ontario real estate law, PPSA, and commercial lending practices.

  • Proficiency in Teraview, Conveyancer, and PPSA search and registration systems.

  • Excellent drafting, organizational, and communication skills.

  • Ability to manage multiple files and deadlines in a fast-paced environment.

  • High attention to detail and ability to work independently or as part of a team.
